01Parties and scope
Dohs Studio LLC, referred to as Dohs Studio, sells lighting products and provides the purchasing support described in its accepted quotation. Customer means the person or legal entity identified as the buyer in that quotation. Dohs Studio acts as a dealer and reseller, not as Customer's purchasing agent, fiduciary, architect, engineer, lighting designer, electrician, or installer.
These Terms cover third party branded products sold by Dohs Studio LLC. Private label products, including Aetris Lighting products, require separately identified product and warranty terms. Excluding those products here does not create a separate legal entity or limit any responsibility imposed by law.
Consumer Purchase means a transaction entitled to mandatory consumer protections, including a qualifying purchase for personal, family, or household use. Business Purchase means a transaction that does not qualify as a Consumer Purchase. Actual facts and applicable law control this distinction, not a label on a quotation. Mandatory consumer rights control over any conflicting provision of these Terms.
02Agreement and acceptance
A Quotation is Dohs Studio's written proposal identifying the products, prices, scope, and transaction terms. An accepted Order consists of the final Quotation, approved written changes, and the specific dated version of these Terms provided with and incorporated into that Quotation. Separately negotiated provisions expressly accepted by both parties control over conflicting standard terms, subject to applicable law.
Before placing an Order, Customer must receive an opportunity to read, save, and ask questions about the Quotation and these Terms. An Order forms when Customer validly accepts the final Quotation as directed while the offer remains open, unless that Quotation expressly requires a further Dohs Studio acceptance. Dohs Studio requests an electronic signature or other affirmative written acceptance identifying the Quotation and terms version. A person accepting for a company represents that they have authority to bind that company. Dohs Studio's subsequent written confirmation records the Order and does not postpone formation of an already accepted contract. Required cleared payment and final approvals are conditions of manufacturer order release, not an automatic postponement of contract formation. Other legally effective acceptance remains governed by applicable law.
Visiting the website, sending an inquiry, uploading plans, or discussing a project does not accept an Order or these sales terms. A payment by itself does not establish acceptance of terms that were not properly presented and agreed to. If Customer sends a purchase order or other document with additional or conflicting terms, the parties must resolve those differences in writing before release. Neither party should assume that its standard document automatically overrides the other's.
These Terms apply only to Orders that validly incorporate them. Later website updates do not change existing Orders. Changes to an accepted Order require the parties' written agreement. A discussion by telephone does not replace that confirmation.
03Product and project approvals
Customer and its project professionals must verify the final product selections, quantities, takeoffs, measurements, finishes, voltage, drivers, dimming and controls compatibility, mounting details, site conditions, intended use, and applicable code or listing requirements before approval. Customer must identify discrepancies and special requirements in writing. Dohs Studio does not perform field measurements, engineering calculations, permitting, code design, or installation unless a separate lawful scope expressly states otherwise.
Dohs Studio may help research alternates, ask manufacturers questions, or point out an apparent discrepancy. That assistance does not constitute a complete design or specification audit. Customer's qualified project team approves any alternate before purchase. An observation about one issue does not promise that Dohs Studio has identified every issue.
Dohs Studio remains responsible for accurately ordering the products and quantities in the accepted Order, incorporating approved written revisions, and exercising reasonable care in communicating known product information. Customer's approval does not excuse a Dohs Studio ordering error or override an express product description or a duty imposed by law. Dohs Studio will not substitute a different product without Customer's written approval.
04Prices and quotation validity
Prices are in United States dollars. A Quotation remains available for acceptance for 30 calendar days after its issue date unless it clearly states a different period. Availability and quoted lead times are estimates unless Dohs Studio expressly makes a written commitment. Dohs Studio must confirm continued availability and pricing before issuing a revised offer or agreeing to honor an expired Quotation.
The Quotation identifies product prices, the fixed freight amount, applicable taxes, and any agreed duties, tariffs, or additional services. Mandatory charges will be included in the price where required by law. Dohs Studio will not add an undisclosed mandatory handling or administration fee at payment. Optional services require Customer's agreement.
An increase in vendor prices, duties, tariffs, or freight after acceptance does not automatically authorize a higher customer charge. A change requires an express adjustment mechanism already agreed in the Order and lawful for that transaction, or a new written agreement. Dohs Studio will promptly disclose a material pricing error discovered before acceptance. An error discovered after acceptance will be addressed by agreement or applicable law, not an unlimited right to rewrite the price.
05Payment and order release
Unless the Quotation states otherwise, payment of the full Order amount in cleared funds is due before Dohs Studio releases the manufacturer purchase order. A negotiated deposit and balance schedule or approved credit terms, including Net 30, apply only when stated in writing. Credit approval on one Order does not automatically extend to another. Customer must include the Quotation or invoice number with payment.
Signing a Quotation, scheduling a transfer, or showing a payment confirmation does not establish that funds have cleared. Dohs Studio will confirm receipt and apply the agreed release conditions. Dohs Studio will not require a different payment milestone after acceptance without agreement or a right provided by law.
For a missed payment, Dohs Studio may give written notice and suspend further unreleased purchases or services to the extent permitted by the Order and applicable law. Dohs Studio will act reasonably to limit avoidable costs. Suspension does not allow retention of a refund otherwise due or interference with rights in products already paid for. Agreed dates may need revision if Customer delays required funds or approvals.
No automatic monthly late charge applies under these Terms. A late charge requires a separately disclosed, expressly accepted provision that is lawful and reasonable for that transaction. Customer remains responsible for undisputed amounts when due. Any restriction on deductions or backcharges is subject to lawful setoff, withholding, dispute, and consumer rights.
06Payment methods and security
The Quotation or payment instructions identify the accepted payment methods. Where a credit card surcharge is permitted, Dohs Studio will disclose the rate and resulting amount before payment and obtain the necessary agreement. The surcharge cannot exceed Dohs Studio's applicable acceptance cost or the lower limit imposed by law, the processor, or the card network. Dohs Studio will not surcharge debit or prepaid cards. A surcharge is not automatic and requires a compliant payment setup.
An optional payment fee must be genuinely avoidable through another accepted payment method. Mandatory charges will be included in the quoted price where required. Dohs Studio will make refunds, including any required refund of payment fees, under applicable law and card rules. These Terms do not limit lawful chargeback or billing dispute rights.
Verify new or changed banking instructions by calling Dohs Studio at 805.868.0410 using a number independently obtained from an established source. Do not rely only on the telephone number in a message announcing a change. This verification request does not transfer responsibility for Dohs Studio's own security failures to Customer or alter statutory rights.
07Taxes and international orders
Customer must provide accurate billing, delivery, and intended use information. A claimed resale or other exemption requires a valid certificate before Dohs Studio processes it. Dohs Studio may charge taxes it is legally required to collect. Customer is responsible, to the extent permitted by law, for taxes and reasonable costs caused by inaccurate exemption information supplied by Customer, but not for Dohs Studio's own tax errors.
International Orders require a written allocation of import clearance, importer responsibility, duties, brokerage, taxes, and delivery obligations. If an Order uses Incoterms, it must name the rule, the precise place, and the edition. No Incoterm applies merely because products ship directly from a vendor. The stated rule governs only the matters it covers. Mandatory destination law, product compliance duties, and consumer protections remain applicable. No international Order is released while material import or delivery responsibilities remain unresolved.
08Lead times and delivery changes
Dohs Studio communicates the latest reasonably available manufacturer information and will notify Customer of a material change it learns about. Manufacturing schedules, stock, and transportation can change. Customer should not commit installation labor or equipment solely on an estimated shipment date. A time critical requirement must be identified and expressly agreed before release.
Where the FTC Mail, Internet, or Telephone Order Merchandise Rule or another delivery law applies, Dohs Studio will maintain a reasonable basis for the shipment representation, provide required delay notices, obtain any required consent, and offer cancellation and prompt refunds as required. Custom manufacture, vendor delays, or a direct shipment do not by themselves eliminate those obligations.
A general acknowledgment that dates are estimates is not advance consent to every future delay. If required consent is not obtained, or Customer properly cancels under an applicable rule, Dohs Studio will refund the unshipped goods as required without a restocking deduction or waiting for a vendor reimbursement. Partial shipments and any associated charges require the agreement or notice required for that transaction.
09Shipping and risk of loss
Most Orders ship directly from the manufacturer or vendor to the destination stated in the Order. Dohs Studio coordinates that shipment and the quoted freight charge. Customer must provide an accurate address, an available receiving contact, access restrictions, unloading needs, and any appointment requirements before freight is finalized. Inside delivery, liftgate service, rigging, unpacking, installation, and storage are included only if expressly stated.
For a Business Purchase only, unless the accepted Order specifies destination delivery or another allocation, the parties intend a shipment contract. Risk of accidental transit loss passes to Customer when conforming goods are duly delivered to the carrier under a proper shipment contract. Arranging or prepaying freight alone does not change that allocation. Dohs Studio will exercise the shipping responsibilities imposed by the contract and law, including proper arrangements and required shipment notices.
This risk transfer does not excuse nonconforming goods, a Dohs Studio breach, improper shipment arrangements, or rights following rightful rejection or revocation of acceptance. Statutory rules for those circumstances remain applicable. For a Consumer Purchase, risk of loss is governed by applicable law and the expressly accepted delivery terms, not the Business Purchase provision above.
Dohs Studio will reasonably assist with carrier or vendor claims. Neither a carrier's denial nor a vendor's policy by itself decides Customer's legal rights against Dohs Studio. Additional delivery costs caused by Customer's changed instructions or unavailable receiving arrangements must be reasonable, documented, and agreed or otherwise recoverable under the Order and law.
10Inspection and freight claims
Please inspect packaging and the delivered count before signing the carrier receipt when reasonably possible. Note visible damage or shortages on the receipt, photograph the packaging and products, and keep the packing material and shipping labels. Do not install visibly damaged or incorrect products. Follow reasonable carrier instructions without taking unsafe action.
Report visible damage or an apparent shortage to Dohs Studio within 48 hours after delivery. Inspect and report concealed freight damage within three business days after delivery when reasonably discoverable. Business days mean Monday through Friday excluding United States federal holidays, measured in Pacific time. Report a problem discovered later promptly after discovery. Include the Order number, affected items, tracking details, photographs, and a description at johnny@dohs.studio.
These are prompt reporting requests intended to preserve evidence and carrier remedies. They do not make goods automatically accepted or defect free, shorten a manufacturer's warranty, or eliminate statutory rights or claims for defects not reasonably discoverable within that period. A separate carrier deadline may affect a carrier claim. Dohs Studio will disclose known special requirements before shipment. Any consequence of late notice is subject to applicable law and the actual prejudice caused.
11Changes and cancellations
Request a change or cancellation in writing as soon as possible. Before the manufacturer acknowledges an order, Dohs Studio will promptly seek the requested change or cancellation. A request is not confirmation that the vendor has stopped work or shipment. After manufacturer acknowledgment, orders are generally not cancellable for a change of mind unless the manufacturer and Dohs Studio authorize an exception. Any custom or specially restricted item must be identified before Customer accepts it.
If a voluntary cancellation can be arranged, Dohs Studio will explain the vendor's conditions and proposed charges before Customer agrees. Customer may be responsible for lawful, reasonable, nonrecoverable costs caused by its cancellation. Dohs Studio will account for recoveries and costs avoided, take reasonable steps to mitigate loss, and avoid double recovery. A deposit or full prepayment is not automatically forfeited solely because an item is described as custom or noncancellable.
Dohs Studio will return any balance due after lawful deductions, within the time required by law. These change of mind restrictions do not remove remedies for a Dohs Studio breach, defective or nonconforming goods, a qualifying delivery delay, or another mandatory cancellation right. A cancellation of one part does not cancel the remaining Order unless agreed or required by law.
12Voluntary returns and restocking
There is no unconditional change of mind return right under these Terms. Obtain written return authorization from Dohs Studio and the manufacturer before shipping an item back. The applicable request period, covered products, return condition, and percentage must be disclosed in the Quotation or supplied return policy before acceptance. Where no restrictive policy was properly disclosed, applicable law determines Customer's rights.
An authorized voluntary return normally requires unused, uninstalled, unmodified products in their original packaging and a condition the manufacturer accepts for resale. Custom, made to order, modified, discontinued, or otherwise nonreturnable goods are excluded from voluntary returns only when that restriction was disclosed before purchase. Those exclusions do not govern remedies for defective goods or goods not supplied as ordered.
For an authorized change of mind return, Dohs Studio applies the manufacturer's applicable restocking percentage to the net product selling price actually invoiced by Dohs Studio for the returned items, after discounts. The calculation excludes taxes, freight, and separate fees. It is not calculated on Dohs Studio's purchase cost. If the applicable percentage is zero, Dohs Studio charges no percentage restocking fee.
For example, a 25% restocking rate on an invoiced product amount of $1,400 produces a $350 restocking charge. Different products may have different disclosed rates. Dohs Studio will confirm the applicable rate in the authorization and will not apply a higher rate than the one agreed for the Order without Customer's express agreement and a lawful basis.
Customer may also bear disclosed, reasonable return freight and other nonrecoverable return costs to the extent permitted by law. Dohs Studio will identify deductions and will not duplicate a cost already included in a restocking fee. Where lawful and disclosed before acceptance, a voluntary return refund may depend on the manufacturer's acceptance and corresponding credit to Dohs Studio. Dohs Studio will process it promptly after those conditions are satisfied. Vendor processing must not postpone a refund beyond a legal deadline or condition a mandatory remedy on vendor reimbursement. Any agreed store credit instead of a refund must be clearly disclosed and lawful.
No change of mind restocking fee applies to a valid remedy for defective or nonconforming goods, a verified Dohs Studio or vendor fulfillment error, or a cancellation or refund required by law. Associated freight, taxes, and fees will be handled as the applicable remedy requires.
13Product warranties and claim assistance
Dohs Studio will make applicable manufacturer written warranty information available before purchase where required. Manufacturer warranties vary by product. Contact Dohs Studio with the Order number, model, photographs, installation date if known, and a description of the issue. Dohs Studio will submit reasonably complete information to the manufacturer or representative and communicate material updates. Do not return, modify, dispose of, or authorize paid work on an item without instructions unless safety or applicable law requires action.
The manufacturer initially evaluates claims under its own written warranty. That evaluation remains subject to the warranty and applicable law. Dohs Studio does not promise approval, a particular response time, or an extension of that warranty. A replacement does not restart the manufacturer's warranty unless its terms or applicable law provide otherwise. A manufacturer's decision does not determine or eliminate Customer's independent rights against the manufacturer or Dohs Studio.
The manufacturer's voluntary written coverage of labor, removal, reinstallation, access equipment, troubleshooting, finishing repairs, commissioning, expedited freight, and project delay costs depends on the applicable warranty. This description does not exclude any cost or remedy that the manufacturer or Dohs Studio must provide by law or an express agreement. Dohs Studio is not automatically required to advance a replacement while a discretionary manufacturer claim is pending, but will provide any remedy it independently owes without making it depend solely on manufacturer reimbursement.
For Business Purchases only, and only to the extent permitted by applicable law, Dohs Studio disclaims the implied warranties of merchantability and fitness for a particular purpose. This disclaimer does not apply to Consumer Purchases, an express warranty or product description that cannot lawfully be disclaimed, title obligations, or another nonwaivable duty. Dohs Studio's promise to supply the accepted products and exercise reasonable care in its own purchasing work remains in effect.
Consumer Purchases retain all applicable seller and manufacturer warranties and statutory remedies. These Terms do not convert a consumer sale into an as is sale. Nothing requires a consumer to exhaust a manufacturer procedure before asserting a right that the law allows against Dohs Studio.
14Business remedies and responsibility
The next two paragraphs apply only to a Business Purchase and only where enforceable. They do not apply to Consumer Purchases. Their purpose is to allocate ordinary commercial loss, not to excuse serious misconduct or remove mandatory remedies.
For a Business Purchase, Dohs Studio's aggregate liability for ordinary direct contractual loss arising from affected goods or services is limited to the amount paid or payable to Dohs Studio for those affected goods or services. The limit applies once to related claims and not separately to each claim. It does not limit a refund otherwise owed under the Order.
For a Business Purchase, neither party is liable to the other for indirect, special, or consequential commercial losses, including lost profits or project delay losses, to the extent such losses may lawfully be excluded. This exclusion does not eliminate payment for accepted conforming goods, lawful direct cancellation damages, or an expressly agreed direct reimbursement obligation. It does not automatically classify every foreseeable expense as consequential.
Neither limitation covers fraud, willful misconduct, gross negligence, injury or death, physical damage to property other than the affected goods, a violation of law that cannot be limited, a nonwaivable product liability or warranty duty, or another liability the law does not permit the parties to limit. Mandatory remedies remain available if an agreed remedy fails of its essential purpose or a restriction is otherwise unenforceable. Customer retains all applicable Consumer Purchase rights.
Dohs Studio does not accept an obligation to perform installation or supervise contractors. Customer may not treat its own backcharge schedule as automatically binding on Dohs Studio. The parties should agree in writing before incurring avoidable corrective costs intended to be charged to the other, except where urgent safety action, mitigation, or applicable law requires otherwise. An approval requirement does not eliminate recovery otherwise due by law.
15Business claims caused by customer work
For a Business Purchase only, Customer will reimburse Dohs Studio for reasonable damages and defense costs on a third party claim to the extent caused by Customer's negligent or unlawful installation, unauthorized product alteration, or inaccurate project information that Dohs Studio reasonably relied on. This obligation does not cover the portion caused by Dohs Studio, a product defect for which Customer is not responsible, or a responsibility that cannot lawfully be shifted.
Dohs Studio must give prompt notice and a reasonable opportunity for Customer to participate in the defense. A delay affects the obligation only to the extent it materially prejudices that defense. Neither party may settle a covered claim in a way that imposes an admission, nonmonetary duty, or payment on the other without its written consent, which will not be unreasonably withheld. These Terms create no indemnity obligation for a Consumer Purchase.
16Storage and events outside reasonable control
Warehousing, receiving, consolidation, or storage is not included in an ordinary direct shipment Order. Any later storage arrangement requires a separate written scope covering location, duration, charges, access, insurance, and responsibility. These Terms do not authorize automatic storage charges, disposal of goods, or a warehouse lien without the agreement and legal process required for that arrangement.
If an event outside a party's reasonable control materially prevents performance, that party will promptly explain the impact and take reasonable steps to reduce the disruption. The parties will discuss an appropriate revised schedule or other lawful resolution. This provision does not excuse a lack of funds, erase accrued obligations, permit indefinite retention of money for unshipped goods, or override required delay notices, cancellation rights, or refunds. Relief applies only to the extent the event actually prevents performance and applicable law permits it.
17Project information and communications
Customer authorizes Dohs Studio to share the project information reasonably needed for quotation, purchasing, shipping, and claims with relevant vendors, representatives, carriers, and service providers. Customer must have authority to provide the documents and should remove unrelated personal, payment, or confidential information. Dohs Studio will use reasonable care with project information. Any project requiring special confidentiality or security controls must have those requirements agreed before the information is shared.
These Terms do not transfer ownership of Customer's drawings or grant Dohs Studio a right to publish Customer's name, project, or photographs for marketing. They are not a substitute for a website privacy notice. Dohs Studio may retain Order and acceptance records for business and legal purposes, subject to applicable privacy law. Customer may request a copy of the accepted Quotation and incorporated terms from johnny@dohs.studio.
18Disputes and legal rights
Please contact johnny@dohs.studio with the Order number and a description of a dispute. The parties will first try to resolve it directly. They may agree to mediation. Neither informal discussion nor mediation is a required barrier to a timely claim, small claims filing, emergency relief, or a nonwaivable remedy. These Terms do not require arbitration or waive a jury trial or class action right.
California law governs to the extent permitted, without depriving Customer of mandatory protections applicable to the transaction or Customer's location. For a Business Purchase, a contractual dispute must be brought in the state courts in Santa Barbara County or a federal court with jurisdiction over that county, except where mandatory law requires or preserves a different forum. The parties consent to those courts' jurisdiction. Consumer venue rights remain unchanged.
In an action to enforce a Business Purchase contract, the prevailing party may recover reasonable attorneys' fees and court costs as determined and permitted by the court and applicable law. For a Business Purchase, Customer also agrees to pay reasonable collection expenses actually and necessarily incurred to recover an unpaid amount lawfully due, but only to the extent permitted by law and without duplicating an award or other recovery. Attorneys' fees and court costs remain subject to the preceding prevailing party provision. This paragraph imposes no contractual collection expense or attorneys' fee obligation on a Consumer Purchase. Statutory fee rights remain unchanged.
The parties have not shortened a statutory limitation period in these Terms. An invalid provision will not be enforced. The rest remains effective to the extent it can operate lawfully, without replacing an invalid provision with a broader restriction on Customer's rights. A waiver of a particular breach does not waive later breaches.
19Contact and notices
Dohs Studio LLC may be contacted at johnny@dohs.studio or 805.868.0410. Send formal postal notices to the mailing address on the applicable Dohs Studio Quotation, Order, or invoice, or a replacement address Dohs Studio provides in writing. A mailing address is available on request. This does not change the method or address required for service of legal process or another notice governed by law.
Routine written approvals and notices may be exchanged through the established email addresses or agreed customer portal. A failed delivery notice is not effective receipt. For a material change or dispute, request acknowledgment and follow up if none arrives. Electronic acceptance must use an agreed process that records the transaction, signer, time, and exact document version and allows Customer to retain a copy.
